1. Acceptance

These Terms of Use are a binding agreement between you and MotherMedia ("MotherMedia", "we", "us"), operator of the influencer-marketing marketplace at mothermedia-fcebc.web.app and related apps (the "Service"). By creating an account or using the Service you confirm that you have read, understood and accepted these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to enter a binding contract under Israeli law. If you use the Service for a company, agency or brand, you represent that you are authorised to bind that entity, and "you" includes that entity.

3. The marketplace

MotherMedia connects creators, brands and agencies and provides tools to discover, negotiate, contract, run and measure influencer campaigns. We are a neutral platform: each collaboration is a direct agreement between the participating parties, governed by the structured offer and campaign agreement both sides accept in the Service. We are not a party to those agreements and do not act as an employer, agent or talent agency unless expressly stated in writing.

4. Accounts and verification

You must provide accurate information and keep it current. You are responsible for activity under your account and for safeguarding your credentials. We may verify identities and connected social accounts, and may refuse, suspend or remove accounts that are inaccurate, fraudulent or in breach of these Terms.

5. Offers, campaigns and agreements

An offer becomes a binding agreement when accepted in the Service. The agreed deliverables, fees, timeline, usage rights and any agency commission are those shown in the confirmed offer/agreement. Changes require the consent of both sides through the Service. You agree to perform in good faith and not to circumvent the Service to avoid fees once a deal is in progress.

6. Advertising disclosure (Israeli law)

Sponsored, paid or barter content must be clearly disclosed as advertising, including a paid-partnership label, as required by Israeli law (including the Consumer Protection Law 5741-1981 and the Israel Consumer Protection and Fair Trade Authority's influencer guidance). Disclosure is mandatory on every paid or barter deliverable; failure to disclose is a breach of these Terms and may be a violation of law for which you are responsible.

7. Payments, fees and taxes

Campaign amounts are shown in New Israeli Shekels (₪) unless stated otherwise. Brands fund campaigns and, where escrow is used, funds are released to the creator on verified delivery. Platform fees, agency commission and any payment-processor charges are shown before you confirm. You are solely responsible for your own taxes (including VAT and income tax) and for issuing any legally required invoices/receipts. We may issue tax documents for fees we charge as required by Israeli law.

8. Content, intellectual property and usage rights

You retain ownership of content you create, and MotherMedia retains all rights in the Service. By using the Service you grant MotherMedia a limited licence to host and display your profile, stats and campaign materials as needed to operate the Service. Usage rights a brand receives in any content are only those set out in the confirmed campaign agreement.

9. Connected social accounts

To build your profile and report you may connect a social account or provide a public profile link. In the current stage we may retrieve publicly available statistics through third-party data providers; later, platform login (OAuth) grants read-only access to your stats. You confirm you are entitled to connect the account and to share its data, and you may disconnect at any time. See the Privacy Policy for details.

10. Prohibited conduct

You may not: use fake, bought or bot followers or fabricated metrics; misrepresent yourself or another; harass, defame or infringe others' rights; scrape, reverse-engineer, overload or disrupt the Service; circumvent agreed campaigns or fees off-platform; or use the Service unlawfully. We may suspend or terminate accounts that breach this section.

11. Third-party platforms

Instagram, TikTok and other networks are independent services governed by their own terms. Your use of them is at your own risk and subject to their rules; MotherMedia is not responsible for their availability, decisions or data accuracy.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, suspected fraud, legal requirement, or risk to the Service or other users. Obligations that by their nature should survive (e.g. payment, confidentiality, liability, governing law) survive termination.

13. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by Israeli law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be uninterrupted, error-free or that any campaign will achieve a particular result.

14. Limitation of liability

To the maximum extent permitted by law, MotherMedia will not be liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the fees you paid us in the three months before the event giving rise to the claim, or ₪1,000. Nothing limits liability that cannot be limited under Israeli law.

15. Indemnity

You will indemnify and hold MotherMedia harmless from claims, damages and costs (including reasonable legal fees) arising from your content, your campaigns, your breach of these Terms or your violation of law or third-party rights.

16. Changes

We may update these Terms; material changes will be notified in the Service or by email and take effect on the date stated. Continued use after the effective date means you accept the updated Terms.

17. Governing law and jurisdiction

These Terms and any dispute relating to them or the Service are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts of Tel Aviv-Yafo shall have sole and exclusive jurisdiction, and you consent to that jurisdiction and venue.
